corporate portraits, executive headshots, team photography, brand imagery, and
company narrative photography.
Services may include on-site photography sessions, pre-shoot preparation, guided
posing and direction, image review, professional retouching, and delivery of digital
photographic files.
The specific scope, deliverables, and conditions of each engagement are defined by
written communication, proposals, booking confirmations, or invoices issued by the
Company.
The Company retains discretion over artistic direction, technical execution, and
workflow unless otherwise agreed in writing.
3. Eligibility and Client Responsibilities
By engaging the Company, you confirm that you are legally capable of entering into a
binding agreement.
You agree to provide accurate, complete, and timely information necessary for the
provision of services, including but not limited to scheduling details, participant
information, intended image usage, and brand guidelines.
You are responsible for obtaining internal approvals, permissions, and consents from
photographed individuals unless otherwise agreed.
Failure to provide required information or cooperation may affect timelines, outcomes,
or deliverables, for which the Company shall not be held responsible.
4. Booking, Scheduling, and Availability
All services are provided by appointment only and are subject to availability.
Bookings are considered confirmed only once acknowledged by the Company in writing
and, where applicable, upon receipt of required deposits or payments.
The Company reserves the right to adjust scheduling due to unforeseen circumstances,
including illness, technical issues, or force majeure events.
Clients are responsible for ensuring timely arrival of participants and readiness of the
shooting environment.
5. Payments, Fees, and Taxes
Fees for services are communicated prior to or at the time of booking.
Unless otherwise stated in writing, payments are due as specified on invoices issued by
the Company.
All fees are exclusive of applicable taxes, duties, or governmental charges, which are
the responsibility of the client unless legally required otherwise.
Failure to complete payment may result in suspension of services, withholding of
deliverables, or cancellation of bookings.
6. Cancellations, Rescheduling, and No-Shows
Cancellation and rescheduling terms are governed by the Booking, Payments,
Cancellation and Refund Policy, which forms an integral part of these Terms of Service.
In general, late cancellations, no-shows, or failure to provide access to the agreed
location or participants may result in forfeiture of deposits or fees.
The Company reserves the right to determine whether a cancellation qualifies as
excusable based on documented circumstances.
7. Artistic Style and Outcome Expectations
Photography services are inherently subjective and depend on multiple factors,
including participant cooperation, environment, lighting conditions, and time constraints.
The Company does not guarantee specific facial expressions, poses, or subjective
aesthetic preferences beyond the professional standards described on the website.
By engaging the Company, you acknowledge and accept the Company’s established
photographic style and approach.
8. Image Review, Selection, and Revisions
Where applicable, image review may take place during or after the photography
session.
Final image selection, retouching scope, and revisions are limited to what is expressly
included in the booked package.
Additional retouching, revisions, or alternative edits may be subject to additional fees.
9. Intellectual Property and Ownership
All photographs and related materials created by the Company remain the intellectual
property of Fine Grain LLC unless otherwise agreed in writing.
Clients are granted a license to use delivered images in accordance with the Image
Usage, Licensing and Intellectual Property Policy.
No ownership transfer, resale, sublicensing, or unauthorized modification of images is
permitted without explicit written consent from the Company.
10. Third Party Services and Tools
The Company may use third party services for hosting, file delivery, payment
processing, communication, analytics, or storage.
The Company is not responsible for the availability, security, or performance of third
party services beyond reasonable professional diligence.
Third party services operate under their own terms and policies.
11. Limitation of Liability
To the maximum extent permitted by law, Fine Grain LLC shall not be liable for indirect,
incidental, consequential, special, or punitive damages, including loss of profits,
revenue, business opportunities, or reputational harm.
The Company’s total liability arising from or related to any engagement shall not exceed
the total fees paid by the client for the specific service giving rise to the claim.
Nothing in these Terms limits liability where such limitation is prohibited by applicable
law.
12. Indemnification
You agree to indemnify and hold harmless Fine Grain LLC from any claims, damages,
liabilities, costs, or expenses arising from your misuse of the services, breach of these
Terms, or failure to obtain required consents or permissions.
13. Force Majeure
The Company shall not be held liable for failure or delay in performance caused by
events beyond its reasonable control, including but not limited to illness, accidents,
natural disasters, governmental actions, pandemics, power failures, or technical
breakdowns.
In such cases, the Company will make reasonable efforts to reschedule or otherwise
mitigate disruption.
14. Governing Law and Jurisdiction
These Terms of Service are governed by the laws of the State of Wyoming, United
States, without regard to conflict of law principles.
