1. Purpose and Scope

This Image Usage, Licensing and Intellectual Property Policy governs the ownership,

licensing, permitted use, and protection of all photographic images and related materials

created by Fine Grain LLC.

This Policy applies to all clients, photographed individuals, organizations, and third

parties who receive, access, or use images produced by the Company.

This Policy forms an integral part of the Terms of Service and is binding upon delivery or

use of any images.

2. Ownership of Images

All photographs, image files, previews, edits, retouched images, derivatives, and related

materials created by Fine Grain LLC remain the exclusive intellectual property of Fine

Grain LLC unless explicitly agreed otherwise in writing.

No ownership rights are transferred to the client or any third party by default.

3. License Granted to the Client

Upon full payment of all applicable fees, the client is granted a non exclusive, non

transferable, non sublicensable license to use the delivered images strictly in

accordance with the scope defined below.

The license applies only to final delivered images and does not extend to raw files,

previews, or unselected images unless explicitly agreed in writing.

4. Permitted Uses

Unless otherwise agreed in writing, the granted license permits use of images for the

following purposes:

 Corporate and professional profiles

 Company websites and landing pages

 Internal communications and presentations

 Pitch decks, proposals, and reports

 Social media profiles and posts

 Press releases and editorial coverage relating to the client

Use must remain consistent with the professional context and intent agreed at the time

of the photography session.

5. Prohibited Uses

Unless explicitly authorized in writing, the following uses are strictly prohibited:

 Resale, redistribution, or licensing of images to third parties

 Use in stock photography platforms or image libraries

 Use in misleading, defamatory, or unlawful contexts

 Use in political campaigns or endorsements

 Use in connection with adult content, gambling, or illicit activities

 Material alteration that distorts the subject’s likeness or intent

Any unauthorized use constitutes a material breach of this Policy.

6. Commercial and Advertising Use

Commercial advertising use beyond the client’s own brand or organization requires prior

written approval and may be subject to additional licensing fees.

Third party commercial use, including use by partners, affiliates, or sponsors, is not

permitted unless explicitly licensed.

7. Duration and Territory of License

Unless otherwise agreed in writing:

 The license is granted worldwide

 The license is granted for an indefinite duration

The Company reserves the right to revoke or restrict the license in cases of material

breach of this Policy or the Terms of Service.

8. Modification and Integrity of Images

Clients may resize, crop, or format images as required for layout or platform

compatibility.

Substantial alterations, excessive retouching, application of filters, or manipulation that

changes the character, expression, or professional intent of the image is prohibited

without written consent.

The Company retains moral rights to protect the integrity of its work to the extent

permitted by law.

9. Attribution

Attribution is appreciated but not mandatory unless explicitly required by the Company

or agreed in writing.

Where attribution is provided, it should reference the Company or photographer name

as specified by the Company.

10. Portfolio and Promotional Use by the Company

Unless otherwise agreed in writing, Fine Grain LLC reserves the right to use selected

images for its own portfolio, website, marketing materials, social media, and self

promotional purposes.

The Company will not knowingly use images in a manner that misrepresents the client

or harms the client’s reputation.

Requests to restrict portfolio use must be submitted in writing prior to or at the time of

booking.

11. Model Consent and Releases

Clients are responsible for informing photographed individuals of the intended use of

images and obtaining internal approvals where required.

Where formal model releases are required for specific uses, responsibility will be

defined in writing prior to the session.

The Company may rely on the client’s representations regarding consent unless

otherwise agreed.

12. Third Party Claims and Indemnification

The client agrees to indemnify and hold harmless Fine Grain LLC from claims arising

from unauthorized use of images, failure to obtain necessary permissions, or misuse by

third parties acting on the client’s behalf.

13. Breach and Remedies

Unauthorized use of images may result in:

 Immediate termination of the license

 Invoicing of retroactive licensing fees

 Legal action to enforce intellectual property rights

The Company reserves all rights and remedies available under applicable law.

14. Relationship to Other Policies

This Policy should be read in conjunction with the Terms of Service and the Retouching,

Deliverables and Artistic Standards Policy.

In case of conflict, the Terms of Service prevail unless otherwise stated.

15. Policy Modifications

Fine Grain LLC reserves the right to update or modify this Policy at any time.

Updated versions will be published on the website with an updated Effective Date.
